From mission to action, VNIDA—the Vietnam Independent Directors Association—established the VNIDA Institute of Corporate Governance Research (VNICG). Operating as a dedicated research and training institution in the field of corporate governance, VNIDA is social-professional organisation of independent directors and board directors in Vietnam.

As the highest decision-making body of the Institute, the Management Board is responsible for setting strategic directions, organizing the structure, overseeing financial matters, and deciding on critical issues related to the Institute’s operations.

MANAGEMENT BOARD

Responsible for organizing, coordinating, and ensuring that all academic, research, and networking activities are effectively implemented. This unit is also accountable to the law, VNIDA, and the Management Board for the overall operations of the Institute.

EXECUTIVE BOARD

The Academic and Advisory Council serves as the Institute’s professional advisory body, responsible for reviewing, evaluating, and providing critical feedback on research, training, and scientific-technological development initiatives. It brings together leading experts in the field, collectively contributing to the professional quality and academic value that VNICG extends to the corporate community.

ELIGIBILITY REQUIREMENTS

Strong presentation and training background, with at least 5 years of experience in corporate or academic training, as well as supervising research at universities, research institutes, or practical governance institutions.

Extensive experience (at least 15 years) in researching and applying Corporate Governance Principles and Practices (OECD/G20, CG Codes, etc.), as well as the requirements for specific corporates such as listed companies, state-owned enterprises (SOEs), and family-owned businesses, both globally and in Vietnam.

Solid academic foundation in economics, business administration, finance, corporate law, and corporate governance. A master’s degree or higher is preferred, or documented research projects, publications, or policy contributions.

Leadership experience in roles such as C-suite executive, Board of Directors member, Supervisory Board member, or corporate governance advisor.

Established personal reputation and credibility, with a network of connections to policymakers and business leaders at both domestic and international levels. Supporting documents may include letters of recommendation, achievement records, or awards from reputable organizations.

6.

Thorough understanding of the Board of Directors Independent Member Competency Framework and the VNIDA Code of Ethics.

7.

Active engagement, demonstrated by a commitment to attend at least 80% of scheduled meetings and to provide professional input as required by the Council.

Insight into ESG/sustainable development and digital transformation, with a willingness to undergo an initial assessment if needed."

ULTIMATE RESPONSIBILITIES

  • Strategic Research Guidance: Forecast trends in corporate governance, identify priorities for research implementation, and provide feedback during the development and defense of VNICG’s research plans.
  • Independent Input on Training Quality and Expertise: Contribute to the development of training materials, program implementation, certification standards, and the selection criteria for program support experts/instructors at VNICG.
  • Independent Input on Research Quality and Expertise: Establish standards and criteria for evaluating research quality and topics (methodology, data reliability, applicability, and the proposed recommendations). Conduct independent reviews.
  • Policy Advice and Professional Guidance: Review and provide feedback on government policy recommendations and best practice guidelines in corporate governance tailored to Vietnam’s context.
  • Active Participation Commitment: Members of the Academic and Advisory Council are committed to engaging in these activities according to their expertise and in compliance with the Scientific Council’s Operating Regulations issued by VNICG.
  • Confidentiality and Compliance: Comply with the confidentiality, identification, and related regulations of VNIDA/VNICG during the term of collaboration.
  • Legal and Tax Obligations: Fulfill any relevant personal legal and tax obligations as agreed with VNICG. Where necessary, VNICG may provide related reference materials to support members in fulfilling these obligations.

EXCEPTIONAL BENEFITS

  • Recognition and Acknowledgement: Your contributions to VNIDA/VNICG’s projects and professional activities will be honored and acknowledged.
  • Official Membership Designation: You may use the title of “VNICG Academic and Advisory Council Member” in official events, materials, and your personal professional profile—provided that this usage accurately reflects your role, responsibilities, relevance, and integrity of information, and complies with VNIDA/VNICG’s related regulations. Note that this title may only be used on media platforms and social networks (LinkedIn, etc.) while you remain an official Academic and Advisory Council member. Any public statements or professional opinions made under the name of VNIDA/VNICG require formal authorization from VNIDA/VNICG by email or in writing.
  • Priority Participation in Professional Events: Priority consideration for invitations or sponsored/free attendance to professional events organized by VNIDA/VNICG, depending on specific circumstances.
  • CPE Recognition: Consideration for recognition of Continuing Professional Education (CPE) credits toward professional certifications or qualifications held through VNIDA/VNICG, based on specific criteria and annual recommendations by the VNICG Management Board.
  • Honorary Professional Certificates: Consideration for honorary professional certificates if all criteria are met, as proposed by the VNICG Management Board.
  • Compensation and Reimbursement: Entitlement to honoraria and/or reimbursement of expenses incurred while participating in VNIDA/VNICG’s activities and professional research projects, where budget and funding sources are available. Specific expense eligibility and reimbursement ceilings will be detailed in the appendix recognizing official Academic and Advisory Council membership.
